These General Terms and Conditions of NIKIN AG as the seller and you as the customer apply to all orders placed in the NIKIN online shop (www.nikin.com) as well as to purchases for which NIKIN AG declares these General Terms and Conditions to be applicable.

Scope

These General Terms and Conditions apply to all services provided by NIKIN AG in the online shop (www.nikin.com) and become effective upon conclusion of a contract. Deliveries, services and offers by NIKIN AG are made exclusively on the basis of these General Terms and Conditions, even if they are not expressly agreed upon again. By submitting an order to NIKIN AG, you confirm that you have read these General Terms and Conditions and expressly agree to them.

Conclusion of a Contract

All information regarding goods and prices provided during the ordering process is subject to change and non-binding. Orders are binding for customers. Accordingly, orders cannot be amended or cancelled. Customers receive a non-binding confirmation of their order from the seller. Until notification of dispatch, through which the contract with the seller is concluded, NIKIN AG may revoke its offer without further notice. By placing your order, you confirm that you are aware of the scope and content of your order. Any questions in this regard can therefore be clarified with us in advance.

Delivery

Goods are generally delivered by post or courier. Delivery within Switzerland usually takes between 1 and 5 working days unless otherwise stated for the respective product. This information is provided without guarantee.

If the sender provides an incorrect address or an address at which the postal service is unable to locate the recipient, any return shipping costs charged by the postal service must be borne by the customer. Once the goods have been handed over to the postal service, NIKIN AG accepts no further liability. NIKIN AG therefore does not bear the transport risk.

Should an item from our range exceptionally be unavailable, we will inform you as quickly as possible by email. In principle, NIKIN AG reserves the right to make partial deliveries if this appears to facilitate the efficient processing of the overall delivery. Naturally, no additional shipping costs will be charged for subsequent deliveries in such cases. NIKIN AG also reserves the right to require 100% advance payment for international deliveries.

Prices

All prices on www.nikin.com include the VAT required by law in Switzerland (currently 8.1%) and exclude shipping costs. The actual shipping costs are displayed in the shopping cart before the order is completed. NIKIN AG expressly reserves the right to adjust the prices stated online at any time without prior notice and without further explanation. The price applicable at the time the order is placed on the website is decisive.

Payment Terms

The following payment methods are available:

Purchase on account (POWERPAY)*, PayPal, credit card (via SIX). We also reserve the right to offer advance payment by bank transfer.

For advance payment by bank transfer, the payment period is generally 7 days. If payment is not received within this period, NIKIN AG reserves the right to cancel the order and release the goods for sale again. Any bank transfer fees must be borne by you.

*Purchase on account with instalment payment option (POWERPAY)

MF Group / POWERPAY offers the “purchase on account” payment method as an external payment service provider. With the individual invoice, you can conveniently pay for your online purchase by invoice. If you do not make payment within the specified period, you will subsequently receive a monthly invoice in the following month containing an overview of your orders.

Upon conclusion of the purchase contract, POWERPAY assumes the resulting invoice claim and handles the corresponding payment arrangements. When purchasing on account, in addition to our General Terms and Conditions, you also accept the General Terms and Conditions of POWERPAY.

Retention of Title; Set-Off; Right of Retention

(1) In the case of consumers, we retain ownership of the purchased goods until the invoice amount has been paid in full. If you are an entrepreneur acting in the course of your commercial or independent professional activity, a legal entity under public law or a special fund under public law, we retain ownership of the purchased goods until all outstanding claims arising from the business relationship with the customer have been settled. The corresponding security rights may be transferred to third parties.

(2) You are only entitled to set off claims if your counterclaims have been legally established, are undisputed by us or have been recognised by us. In addition, you only have a right of retention if and insofar as your counterclaim is based on the same contractual relationship.

(3) If the customer is in default with any payment obligations towards us, all existing claims shall become due immediately.

Guarantee and Warranty

The guarantee for goods corresponds to generally accepted standards and is valid for 24 months unless a longer or shorter guarantee period is expressly indicated on the delivered goods. Defective goods must be reported in writing to the company address within 10 days of delivery or of the defect occurring; otherwise, the guarantee claim will lapse entirely. The guarantee applies from the date of delivery. It expires in the event of improper use or natural wear and tear. The bag should not be loaded with more than 5 kilograms. NIKIN AG reserves the right to make individual decisions in warranty cases. Guarantee and warranty claims are excluded for items declared as outlet goods.

Return Guarantee

Every customer is entitled to return items received from NIKIN within 20 days (exceptions: TreeSocks, TreeBoxers, TreeBottle, TreeMug & vouchers). Returned items must be sent back in a hygienically impeccable condition; otherwise, the right of return will lapse. In the event of a return, the shipping costs incurred by NIKIN will be charged to the customer or deducted from the refund amount. Return shipping costs must be borne by the customer.

By accepting these General Terms and Conditions, you also automatically accept our Return Policy. Items declared as outlet goods, TreeBottles, TreeMugs and TreeBoxers are explicitly excluded from the return guarantee.

Minor Model Variations

The design of individual items may occasionally change slightly. NIKIN AG cannot naturally accept liability for such modifications made by manufacturers and suppliers.

Care/Handling

NIKIN AG accepts no liability whatsoever for improper conduct by the customer in connection with the care and/or handling of the delivered items.

Tree Planting

For almost every one of our products, we arrange for a tree to be planted. Each month, an amount is transferred to One Tree Planted and any other tree-planting partners. The tree is normally planted where it is most urgently needed at the time. The customer’s tree will therefore be planted at the location where One Tree Planted or another tree-planting partner organises its next tree-planting project.

Buy-Back Programme for Circular Products

NIKIN’s buy-back programme, called “Circular Cashback”, covers all circular products made from 100% biodegradable polyester/elastane (naNea material). We developed the system to return materials to the cycle and extend the lifespan of products.

The reward for wearing a circular product is limited to 5 years from the date of purchase. After 5 years from the date of purchase, the customer’s right to sell the product back to NIKIN AG expires.

When purchasing the product, the customer can register with us on our website and thereby obtains the right to return, i.e. sell, this T-shirt back to us within the currently applicable period of five years.

Customers receive a fixed annual amount for wearing the product for a long period of time, resulting, for example, in CHF 10 for a T-shirt over 5 years (= CHF 2 per year). The entitlement to the first payment arises after completion of the first year. Thereafter, an entitlement for another year may be claimed once at least six months of the respective current year have elapsed, for a maximum period of 5 years from the date of purchase.

Please note that we do not offer circular products at a discount at any time. We have therefore programmed our online shop so that general discount codes cannot be applied to circular products. If you nevertheless purchase the product using a discount code, we reserve the right to reduce the Circular Cashback amount at our discretion.

Data Protection

NIKIN AG undertakes to process your customer data carefully and to comply with the provisions of the applicable data protection legislation. In particular, no data will be passed on to third parties. However, no liability can be accepted for the security of data transmitted over the internet.

Marketing

NIKIN AG reserves the right to reuse the email address and telephone number provided when placing an order for its own marketing purposes (newsletter and other communications). You can opt out by sending a personal email to team(at)nikin.ch.

Product Reviews

After a purchase, NIKIN sends automated emails asking customers to review the products they have purchased. NIKIN reserves the right to reuse these reviews as well as all other reviews, including reviews submitted without an email request, for marketing purposes.

Vouchers

Personal vouchers created only for a specific person or a specific group may not be passed on and may only be redeemed by persons authorised by NIKIN AG. NIKIN AG reserves the right to cancel all unauthorised orders without comment. Only one discount code may be used per order.

General Liability

It is expressly pointed out that no liability claims may be asserted against NIKIN AG by the customer for direct or indirect damage, including consequential damage, unless the damage was caused intentionally or through gross negligence on the part of NIKIN AG. For example, damage resulting from accidents, falls, etc. arising from the use of NIKIN products (bags, etc.) is your own responsibility.

Amendments to the General Terms and Conditions

NIKIN AG expressly reserves the right to amend these General Terms and Conditions unilaterally at any time without prior notice.

Applicable Law / Place of Jurisdiction

In all cases, the relationship between you and NIKIN AG shall be governed by Swiss law in accordance with the provisions of the Swiss Code of Obligations (CO) and the Swiss Civil Code (CC). The place of jurisdiction is Switzerland. The application of the provisions of the Vienna Convention on Contracts for the International Sale of Goods (“United Nations Convention on Contracts for the International Sale of Goods”) is expressly excluded.

Severability Clause

Should individual provisions of this agreement prove to be invalid, this shall not affect the validity of the remaining provisions of the agreement. In such a case, the invalid provision shall be replaced by a new provision that corresponds to the intended purpose or, if this is not possible, comes as close as possible to that purpose.
